The companies have inked a definitive agreement stating acquisition of Adesto's outstanding shares by Dialog Semiconductor. 
  
Under the pact, the acquisition is estimated to diversify customer base across the IIoT market whilst adding industrial sales channel.


One of the leading manufacturers of semiconductor based system solutions, Dialog Semiconductor has reportedly announced acquiring all outstanding shares of Adesto Technologies. Adesto Technologies is a leading provider of innovative ICs and embedded systems for Internet of Things.

As per credible sources, this acquisition would accelerate Dialog's penetration into the expanding Industrial Internet of Things (IIoT) market, which would include industrial automation, smart buildings, and seamless cloud connectivity.

Talking in terms of the finances related to the deal, Dialog would acquire Adesto for USD 12.55 per share in cash, or an overall value of USD 500 million enterprise value. The acquisition is expected to build up a balancing product portfolio for serving a broad customer base across the IIoT market.  The combination would scale up Dialog's IIoT sector capabilities by merging the industrial connectivity, building automation solutions, smart metering, and access to more than five thousand consumers for creating smart building and industrial applications.

Elaborating further, the unison of these companies would unveil the future prospects in automotive market by moderating Adesto's specialty memory products via the use of Dialog's traditional Automotive production and test flow. In addition to this, the products address the fast growing and developing AI segment along with adding design scale and engineering to expand Dialog's current IC business.

Speaking on the acquisition, the CEO of Dialog, Jalal Bagherli reportedly cited that the acquisition is projected to considerably bolster the company's position in the IIoT market in the near future. He further added that Adesto's established strength in connectivity solutions and products would scale up the company's IIoT portfolio.

Meanwhile, the CEO of Adesto, Narbeh Derhacobian commented that merging with Dialog would widen Adesto's scope to create unique IIoT solutions via the integration of its best in class technologies for today's connected world.
